1. Acceptance of These Terms
These Terms of Service ("Terms") govern your access to and use of HD Integrations' websites, consulting services, automation services, AI bot services, integrations, workflows, software configurations, documentation, and related deliverables (collectively, the "Services"). By using the Services, requesting work, approving implementation, granting access to systems, or allowing an automation or AI agent to operate on your behalf, you agree to these Terms.
If you are using the Services for a company or other organization, you represent that you have authority to bind that organization. If you do not agree to these Terms, do not use the Services.
2. Services and AI-Enabled Actions
HD Integrations may design, configure, deploy, monitor, or support workflows that use artificial intelligence, automation, API integrations, scripts, chatbots, agents, browser-based actions, email tools, calendar tools, CRM tools, property management systems, web services, and other third-party platforms.
You authorize HD Integrations and any customer-approved bots, automations, agents, or integrations to access the websites, accounts, tools, systems, files, data, and internet resources you make available for the purpose of providing the Services. You understand that AI-enabled systems may read, summarize, classify, generate, send, post, update, schedule, retrieve, modify, or otherwise act on information in connected systems when configured or authorized to do so.
3. Customer Responsibilities
You are responsible for the accuracy, legality, quality, and completeness of the information, instructions, credentials, permissions, and data you provide. You are also responsible for reviewing, approving, supervising, and controlling the use of any automation, AI bot, agent, or integration deployed for your business.
You agree that you will not use the Services for unlawful, deceptive, harmful, discriminatory, infringing, abusive, spam-related, security-violating, or platform-violating activity. You are responsible for complying with all laws, regulations, leases, contracts, privacy obligations, employment obligations, advertising rules, fair housing rules, consumer protection rules, platform terms, and internal policies that apply to your business and your use of the Services.
4. Third-Party Services and Platforms
The Services may depend on third-party providers, including AI model providers, hosting providers, email providers, calendar providers, CRM providers, property management systems, communication platforms, analytics tools, payment processors, and internet services. HD Integrations does not control third-party services and is not responsible for their availability, performance, data handling, security, pricing, terms, policy changes, outages, rate limits, model behavior, account actions, or errors.
Your use of third-party services is governed by the applicable third-party terms and policies. You are responsible for maintaining valid accounts, subscriptions, permissions, security controls, and payment arrangements with third-party providers.
5. AI Output, Automation Risk, and Human Review
AI outputs and automated actions can be inaccurate, incomplete, delayed, biased, offensive, unexpected, or unsuitable for a particular purpose. Automations may fail, duplicate actions, omit actions, act on stale data, misunderstand instructions, encounter website changes, trigger platform limits, or produce unintended results.
You remain responsible for decisions made with or based on the Services. Unless a separate written agreement expressly states otherwise, the Services are not designed for high-risk uses where errors could cause death, personal injury, major financial loss, legal violations, denial of essential services, or other material harm without appropriate human review and safeguards.
6. Access, Credentials, and Security
You may need to provide access credentials, API keys, tokens, user accounts, administrative permissions, or delegated access so HD Integrations can provide the Services. You are responsible for ensuring that the access you provide is authorized, properly scoped, and compliant with your obligations.
You should promptly revoke access when it is no longer needed and notify HD Integrations if you suspect unauthorized access, credential compromise, or misuse. HD Integrations may suspend work if access appears unauthorized, insecure, unlawful, or likely to harm a system or third party.
7. Fees, Payment, and Project Terms
Fees, payment schedules, deliverables, timelines, support periods, guarantees, refunds, and cancellation terms are governed by the applicable proposal, invoice, statement of work, order form, or written agreement. Unless stated in writing, all fees are non-refundable and estimates are not guarantees.
8. Intellectual Property
HD Integrations retains ownership of its pre-existing materials, templates, know-how, methods, code libraries, internal tools, documentation patterns, prompts, and reusable components. Subject to full payment and any separate written agreement, you may use the final customer-specific deliverables provided to you for your internal business purposes.
You retain ownership of the data, content, trademarks, and materials you provide. You grant HD Integrations the rights needed to use those materials to provide, secure, troubleshoot, improve, and support the Services.
9. Confidentiality
Each party may receive non-public business, technical, operational, customer, or system information from the other party. Each party agrees to use reasonable care to protect confidential information and to use it only for purposes related to the Services. Confidentiality obligations do not apply to information that is public, independently developed, already known without restriction, or lawfully received from another source.
10. Disclaimers
To the fullest extent permitted by law, the Services are provided "as is" and "as available." HD Integrations disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, error-free operation, accuracy, reliability, and compatibility with any third-party system.
HD Integrations does not guarantee specific business results, revenue, conversion rates, cost savings, lease volume, lead volume, search rankings, deliverability, uptime, model accuracy, platform acceptance, or compliance outcomes unless expressly stated in a signed written agreement.
11. Limitation of Liability
To the fullest extent permitted by law, HD Integrations will not be liable for indirect, incidental, consequential, special, exemplary, punitive, or enhanced damages, including lost profits, lost revenue, lost data, lost goodwill, business interruption, replacement services, platform penalties, account suspension, or third-party claims, even if HD Integrations has been advised of the possibility of such damages.
To the fullest extent permitted by law, HD Integrations' total liability for any claim related to the Services will not exceed the amount you paid to HD Integrations for the specific Services giving rise to the claim during the three months before the event giving rise to liability.
12. Indemnification
You agree to defend, indemnify, and hold harmless HD Integrations from and against claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising from or related to your data, instructions, credentials, systems, use of the Services, use of AI outputs, authorized or unauthorized actions taken through connected tools, violation of law, violation of third-party rights, violation of platform terms, or breach of these Terms.
13. Suspension and Termination
HD Integrations may suspend or terminate access to the Services if you fail to pay amounts due, violate these Terms, misuse the Services, create security or legal risk, or request work that HD Integrations reasonably believes is unlawful, harmful, unauthorized, or inconsistent with third-party terms. Sections that by their nature should survive termination will survive, including payment obligations, intellectual property, confidentiality, disclaimers, liability limits, and indemnification.
14. Governing Law and Disputes
Unless a signed agreement says otherwise, these Terms are governed by the laws applicable to HD Integrations' principal place of business, without regard to conflict of law rules. Any dispute will be handled in the state or federal courts with jurisdiction over that principal place of business, unless applicable law requires otherwise.
15. Changes to These Terms
HD Integrations may update these Terms from time to time. The updated version will be posted on this page with a revised "Last updated" date. Continued use of the Services after an update means you accept the updated Terms.
